Account Terms

• You must be 18 years or older to use this Service.
• You must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.
• You are responsible for keeping your password secure. Verdyra Capital cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password.
• You may not use the Verdyra Capital service for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of India.
• You are responsible for all activity and content (data, graphics, photos, links) that is uploaded under your Verdyra Capital account.
• You must not transmit any worms or viruses or any code of a destructive nature.
• A breach or violation of any of the Account Terms as determined in the sole discretion of Verdyra Capital will result in an immediate termination of your services.

Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the digital lending platform operated by Verdyra Fintech Private Limited (hereinafter referred to as "Verdyra Capital", "Verdyra", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 and having its registered office at A100, First Floor, Block A, Sushant Lok Phase-3, Gurugram 122003.

By accessing, browsing, registering on, or using our website verdyracapital.in, web and/or application, or any other interface provided by us (collectively, the "Platform"), you ("you" or "User") agree to be bound by these Terms, including any updates or modifications made from time to time. If you do not agree with these Terms, you must refrain from accessing or using the Platform.

Your use of the Platform signifies your consent to enter into a legally binding agreement with Verdyra Capital. These Terms shall be read in conjunction with our Privacy Policy, Loan Agreement (as applicable), and any other agreements or documents executed with Lending Partners through the Platform.

Eligibility and Representation

By accessing or using the Platform, you confirm and represent that:

• You are a natural person who is an authorised representative, founder, promoter, or director of a business entity (including but not limited to companies, partnerships, or sole proprietorships) seeking credit through our Platform;
• You are competent to contract under the Indian Contract Act, 1872, and possess the full legal capacity to enter into binding agreements on behalf of yourself and, where applicable, the business entity you represent;
• You are not barred from using the Platform under applicable laws, including any restrictions related to previous default, regulatory actions, or credit ineligibility;
• You agree to furnish any documents, consents, or authorisations reasonably requested by us or our Lending Partners in connection with the processing of your application or servicing of your loan.

We reserve the right to deny access to the Platform or restrict your usage at any stage if any of the above representations are found to be false, incomplete, or in violation of these Terms or applicable laws.

Loan Facilitation and Services

Role as Lending Service Provider (LSP)

Verdyra Capital operates as a Lending Service Provider (LSP) and provides a digital platform to facilitate loan applications between you and our partner financial institutions, which may include banks or non-banking financial companies (NBFCs) registered with the Reserve Bank of India ("Lending Partners"). Verdyra itself is not a lender and does not disburse, sanction, or service loans.

Nature of Services

Through the Platform, Verdyra provides a technology interface to enable you to (i) submit a loan application, (ii) upload or provide your name, email, mobile number, company name and State, (iii) undergo credit evaluation by Lending Partners, (iv) receive sanction and disbursement details, and (v) access loan statements, repayment schedules, and other loan servicing information.

Lending Partner's Discretion

All loans are subject to approval by the Lending Partner. The Lending Partner retains sole and absolute discretion to approve or reject any application, determine loan terms (including amount, interest rate, tenure, repayment schedule), and collect dues. Verdyra Capital does not influence, guarantee, or control lending decisions or loan disbursements.

No Advisory Role

Verdyra Capital does not offer credit advice, financial advice, or legal opinions. Any guidance, eligibility checks, or credit scoring provided through the Platform is indicative in nature and not binding on the Lending Partner.

No Liability for Lending Outcomes

Verdyra Capital shall not be liable for any delay, rejection, or adverse decision made by the Lending Partner in connection with your loan application. All rights, obligations, and remedies related to your loan shall be governed by the loan agreement executed directly between you and the Lending Partner.

User Obligations

By accessing or using the Platform, you agree to the following obligations and responsibilities:

Accurate and Complete Information

You shall provide true, complete, and up-to-date information during registration, loan application, and throughout your usage of the Platform. You understand that any false, misleading, or incomplete information may lead to rejection of your loan application, cancellation of disbursement, or legal consequences.

Authorization on Behalf of Business

If you are applying for a business loan, you confirm that you are duly authorised to represent the business entity and provide necessary consents on its behalf.

Security of Account Credentials

You shall maintain the confidentiality of your login credentials and shall not share access to your Verdyra Capital account with any unauthorised person. You are solely responsible for all activity conducted under your account.

Compliance with Laws

You shall use the Platform and avail services in compliance with all applicable laws, including RBI guidelines, KYC/AML norms, income tax regulations, data protection laws, and any other applicable statutes.

Limitation of Liability

Verdyra Capital shall not be liable to you for any loss of profit, production, anticipated savings, goodwill or business opportunities or any type of direct or indirect, incidental, economic, compensatory, punitive, exemplary or consequential losses arising out of performance or non-performance of its obligations.

In no event shall Verdyra Capital's total cumulative liability to you, for any and all claims, exceed INR 10,000 (Indian Rupees Ten Thousand only), regardless of the cause of action or legal theory.

Grievance Redressal

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or related to these Terms or Platform will be subject to the exclusive jurisdiction of the courts in Gurugram, India.

Modifications

Verdyra Capital reserves the right to modify these Terms at any time at its sole discretion. The revised Terms will be effective immediately upon posting. Your continued use of the Platform following the posting of revised Terms means that you accept the revised Terms.
